Terms of Service

1. About these terms

These Terms of Service govern your use of AuditLease, a lease accounting software service provided by Darren Foster ("we", "us", "AuditLease"). By creating an account or using the service, you agree to these terms.

If you are using AuditLease on behalf of a business or organisation, you confirm that you have authority to bind that organisation to these terms.

2. The service

AuditLease provides software tools for lease accounting under IFRS 16 and FRS 102, including lease register management, calculation engines, journal generation, and audit evidence outputs.

The service is provided "as is" for the purpose of assisting with lease accounting workflows. It is not a substitute for professional accounting or legal advice. You are responsible for reviewing all outputs and exercising your own professional judgement.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account.

You must notify us immediately at hello@auditlease.co.uk if you believe your account has been compromised.

We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe are being used fraudulently or maliciously.

4. Acceptable use

You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to access another user's data or accounts
  • Reverse engineer, decompile, or attempt to extract the source code of the service
  • Use automated means to access the service without our prior written consent
  • Upload malicious code or content designed to disrupt the service
  • Resell, sublicense, or otherwise commercialise access to the service without our consent

5. Subscription and payment

AuditLease is available on a free plan with limited features, and paid plans with additional capabilities. Paid subscriptions are billed monthly in advance.

Prices are quoted in GBP and include VAT where applicable. We reserve the right to change pricing with 30 days' notice to existing subscribers.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months except where required by law.

6. Your data

You retain ownership of all data you upload to AuditLease. We process your data in accordance with our Privacy Policy to provide the service.

You are responsible for ensuring that any data you upload complies with applicable laws, including data protection laws if your lease data includes personal information.

We will not access your lease or financial data except where required to provide support you have requested, to investigate a security incident, or where required by law.

7. Intellectual property

AuditLease and all content, software, and technology within the service are owned by us and protected by intellectual property laws. Nothing in these terms grants you ownership of any part of the service.

You grant us a limited licence to process and store your data for the purpose of providing the service.

8. Service availability

We aim to provide a reliable service but cannot guarantee uninterrupted availability. We may carry out maintenance, updates, or emergency work that temporarily affects access. We will give reasonable advance notice where possible.

During the beta period, the service is provided without any uptime guarantee. We recommend you maintain independent copies of critical financial records.

9. Limitation of liability

To the maximum extent permitted by law, AuditLease shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.

Our total liability to you in respect of any claim arising from use of the service shall not exceed the total fees paid by you in the 12 months preceding the claim.

Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Accounting outputs

The calculations, journals, and reports produced by AuditLease are intended to assist qualified accountants and finance professionals. They do not constitute professional accounting advice.

You are solely responsible for reviewing all outputs, applying appropriate professional judgement, and ensuring your financial statements comply with applicable accounting standards.

11. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to these terms

We may update these terms from time to time. We will notify registered users of material changes by email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated terms.
